Secreterial Work & Corporate Practice

Mr Likongwe is a Fellow of the Institute of Chartered Secretaries and Administrators (of the United Kingdom). He was the Company Secretary for all the companies in the Auction Holdings Group for 14 years. Mr. Likongwe studied Corporate Governance in his studies with the Institute of Chartered Secretaries and Administrators and also in his Master of Business Administration studies. He has also attended various short courses on corporate governance. Mr. Likongwe’s work as Company Secretary for the Auction Holdings Group involved putting into practice Good Corporate Governance principles and advising the Boards of the companies within the Auction Holdings Group on Good Corporate Governance. Likongwe & Co have proffered advice to several of its clients on issues of Corporate Governance and potential conflicts of interest. We have also drawn up Board Manuals for our clients.

Likongwe & Co also acts as the Company Secretary for several of its clients. All key personnel have experience in company secretarial work.

Likongwe & Co has assisted clients in incorporating both private and public limited companies, companies limited by guarantee, cooperative societies, churches, trusts, etc.

Our corporate practice has carried out all types of corporate work including drawing up and advising our clients on investment agreements, shareholders agreements, joint venture agreements, partnership agreements, memoranda and articles of association, creating various classes of shares and defining the rights attached to each class, constitutions of registered trusts, by-laws of cooperative societies, share sales agreements, increases in share capital, allotments of shares, issues of bonus shares, employee share ownership schemes, etc. Our practice has advised on and drafted various special resolutions and other company returns and documents and filed them with the Registrar of Companies. We have also handled complex share transactions of various types. In addition, we have represented our clients in the Commercial Court and the Malawi Supreme Court of Appeal in cases involving disputes regarding company law.

Mr Likongwe has acted as Liquidator of various companies.

Likongwe and Company has advised various Non-Governmental Organisations (NGO) in the various types of registration/incorporation and the advantages and disadvantages of the various types of registration. Likongwe and Company has drafted the necessary documents and processed applications for incorporation and the applications for registration with the relevant regulatory bodies. We have also helped the NGOs with operational setting up such as drafting the employee Conditions of Service, advice on employment contracts and other matters.
